I absolutely agree with Larry Naukam's advice. We have had a few
similar unpleasant situations regarding "permanent loans," sometimes
called "deposits," and we do not allow them anymore, which is confirmed
by our written acquisitions policy. A standard Deed of Gift is the best
way to go.
If the owner of the material wants the right to take it back at any
time, either temporarily or permanently, it's going to upset researchers
when they find out that what was once available no longer is, not to
mention time wasted cataloging and then deleting records from your
catalog. It is just not worth the trouble.

In partial reply to that question, we have had such a situation for 70
years now. It is NOT worth the trouble. Unless you can get an outright
gift, you are generally going to run into trouble. Situations change
over periods of time, and what works fine when some people start it can
become a bone of contention over time. I know that this sounds really
bad, but I wish that I had not inherited such an agreement. It is a huge
time sink to make it work.
Just my humble opinion. I do have a sample deed of gift that I can send
to anyone who wants it, off-list.
